These Terms of Service (“Terms”) govern your use of the websites and online services owned or operated by Social Jargn, LLC, doing business as Digital DIYers by Social Jargn (“Social Jargn,” “we,” “us,” or “our”), including but not limited to:

(collectively, the “Sites”), as well as our programs, courses, memberships (including Digital DIYers by Social Jargn), communities, software offerings (including PandaDash), and related services (collectively, the “Services”).

These Terms apply to your use of the Sites and to online purchases you make through the Sites or related order forms. If you and Social Jargn have entered into a separate written agreement that expressly governs specific services (for example, a proposal, statement of work, or master services agreement for done-for-you or retainer-based work billed by invoice), the terms of that separate agreement will control to the extent of any conflict with these Terms.

By accessing or using any of the Sites or Services, you agree to be bound by these Terms, our Disclaimers, and our Privacy Policy, which are incorporated into these Terms by reference. If you do not agree to these Terms, you may not use the Sites or Services.

You are responsible for ensuring that your use of the Sites and Services complies with all applicable laws and regulations.


1. Limited License and Site Use

Subject to these Terms, Social Jargn grants you a limited, non-exclusive, non-transferable, revocable license to access and use the materials on the Sites for your personal, non-commercial, transitory viewing only.

This license is a grant of rights, not a transfer of title. Under this license, you may not:

a) Modify or copy the materials
b) Use the materials for any commercial purpose or public display (commercial or non-commercial) without our prior written consent
c) Attempt to decompile, disassemble, or reverse engineer any software contained on the Sites
d) Remove any copyright, trademark, or other proprietary notations from the materials
e) Transfer the materials to another person or “mirror” the materials on any other server

This license will automatically terminate if you violate any of these restrictions and may be terminated by Social Jargn at any time. Upon termination, you must destroy any downloaded materials in your possession, whether in electronic or printed format.


2. Accounts and Eligibility

To access certain Services (including the Digital DIYers by Social Jargn membership, courses, and private communities), you must create an account.

You agree to:

Provide accurate, complete, and current information, including a valid email address

Maintain the confidentiality of your password

Be responsible for all activities that occur under your account

You may not:

Share your login credentials with anyone else

Use another person’s account

If you suspect any unauthorized use of your account or any other security breach, you must notify us immediately. We may request information to verify account ownership.

In the event of a user’s death, we may close the account upon receiving appropriate documentation.

Age Requirements
Members must be at least 18 years of age to join and use the Services. If you are under 18, you may not create an account or use the Services. If we discover that an account was created in violation of these age rules, we may terminate the account.


3. Enrollment, Membership, and Content Access

When you enroll in a course, membership (including Digital DIYers by Social Jargn), or other content offering, Social Jargn grants you a limited, non-exclusive, non-transferable license to access and view the content for which you have paid all required fees, solely for your personal, non-commercial, educational purposes, in accordance with these Terms and any specific conditions associated with that content or membership.

Unless expressly allowed in a written agreement signed by an authorized Social Jargn representative, you may not:

Reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, or create derivative works of any content

Sublicense, transfer, or otherwise transfer your license or access rights to any other person

We reserve the right to revoke any license to access and use content at any time, including but not limited to situations where we are required to disable access for legal or policy reasons. This applies to one-time purchases, monthly or annual subscriptions, and any lifetime access memberships.


4. Fees and Billing

You agree to pay all fees and charges associated with the Services you purchase or use, whether those are:

Online purchases made through our Sites (for example, Digital DIYers memberships, courses, digital products, or PandaDash / GoHighLevel software seats), or

Services billed by invoice (for example, done-for-you or retainer-based marketing, consulting, or implementation work).

If you have a separate written agreement with us that sets out specific pricing, payment terms, and billing schedules, those terms will apply to the services covered by that agreement.

4.1 Online Purchases and Subscription Products

For online purchases made through our Sites (including, but not limited to, Digital DIYers memberships, courses, digital products, templates, workshops, PandaDash / GoHighLevel software seats, and similar offers):

Prices are displayed at the time of purchase and are in U.S. Dollars (USD).

You authorize us and our payment processors to charge your selected payment method for the full amount at checkout.

For subscription products (such as Digital DIYers memberships or PandaDash / GoHighLevel software seats), you authorize us to charge your payment method on a recurring basis according to the subscription term you select (for example, monthly or annually), until you cancel as described in these Terms.

We may update pricing, promotions, and available offers from time to time. The price at checkout is the price applicable to your transaction, even if you saw a different price at a different time or while logged out.

4.2 Invoiced Services

For certain services, such as done-for-you or retainer-based social media, marketing, consulting, implementation, or similar work, we may bill you by invoice rather than through an online checkout.

Unless otherwise stated in a separate written agreement or on the invoice itself:

Payment is due by the date specified on the invoice.

Invoices may be delivered electronically (such as by email) to the contact information you provide.

If payment is not received by the due date, we may suspend or delay work, pause access to any related deliverables or accounts, and/or refuse to start new work until all outstanding amounts are paid.

We reserve the right to charge interest on any overdue amounts at the maximum rate permitted by law, and you agree to reimburse us for reasonable costs of collection (including reasonable attorneys’ fees) incurred in enforcing overdue payments.

4.3 Payment Methods

You must supply a valid payment method (such as a credit card, debit card, direct debit, or other payment method we make available) at the time of purchase or in connection with invoiced services, as applicable.

You agree that:

You will only use payment methods you are authorized to use.

If your payment method is declined or fails, and you continue to have access to Services, you will promptly provide a new payment method and pay any amounts due.

We may update the payment methods and payment processors we use at our discretion.

If we are unable to process payment for a subscription renewal, or if you file a chargeback that is granted, we may suspend or terminate your access to the applicable Services.

4.4 Taxes

Prices listed may not include applicable taxes. Where required by law, we will collect and remit sales, use, value-added, or other taxes in connection with your purchase. You are responsible for any taxes that apply to your use of the Services, other than our income taxes.


5. Refunds

Due to the nature of digital products and services, all sales for online purchases are final and non-refundable, unless a specific offer explicitly states otherwise or a refund is required by applicable law.

This applies to:

Digital DIYers memberships and subscriptions

Courses, workshops, templates, and digital downloads

PandaDash / GoHighLevel software seats purchased through us

Other digital products and online programs sold through our Sites

If you receive a refund for a particular purchase, your access to the associated content or services may be immediately revoked.

For services billed by invoice (such as done-for-you or retainer-based work), refunds, credits, and cancellation rights, if any, are governed by the terms of any separate written agreement between you and Social Jargn, LLC and/or by the specific invoice terms.


6. Subscription Plans and Renewals

Certain Services, including Digital DIYers by Social Jargn and PandaDash / GoHighLevel software seats, are offered on a subscription basis.

During your subscription term, you have a limited, non-exclusive, non-transferable license to access and use the content and features included in your subscription plan, subject to these Terms and any additional terms presented at the time of purchase.

Auto-Renewal

Unless otherwise stated at the time of purchase:

Subscriptions automatically renew at the end of each billing period (for example, monthly or annually) for the same length of term, at the then-current rate.

You authorize us to charge your payment method on file for each renewal period until you cancel.

If we are unable to process payment for a renewal, we may suspend or terminate your subscription and your access to associated content and features.

We reserve the right to modify or discontinue subscription plans (including pricing, features, and included services) at any time. If we make a material change that affects your existing subscription, we will provide notice by reasonable means.


7. Free Trials

We may offer free trials for certain memberships or subscription Services.

The length and terms of any free trial will be disclosed at sign-up.

Eligibility for free trials is determined by Social Jargn at our sole discretion, and we may limit or revoke free trials at any time.

At the end of the free trial period, we will begin billing your chosen payment method for the applicable subscription fees, unless you cancel before the trial ends.

If you cancel during the free trial, your access to the relevant Services may end immediately or at the end of the trial, as disclosed at sign-up.


8. Account Management and Cancellation

You may cancel your subscription at any time prior to the renewal date by following the instructions in your account settings or by contacting us using the contact details in these Terms.

Your “renewal date” is based on the original enrollment date (month and day).

If you cancel, your access to the membership, subscription content, and any related interactive environments will typically continue until the end of the current billing period, unless we state otherwise at the time of purchase.

You will not receive a refund or credit for any partially used subscription period, except where required by applicable law or a specific offer provides otherwise.

Cancelling a subscription does not automatically cancel or modify any separate invoiced services you have with us. Those are governed by the terms of your separate written agreement or invoice.


9. Gift and Promotional Codes

From time to time, Social Jargn or its partners may offer gift or promotional codes.

Codes may provide promotional credits applied to memberships, courses, or other eligible content, or may be redeemable for specific content.

Codes and credits may expire if not used within the specified time frame.

Gift and promotional codes offered by Social Jargn are not redeemable for cash. Codes offered by partners are subject to the partner’s refund and use policies.

If you have multiple promotional credits, Social Jargn may determine which credit to apply to a given purchase.


10. User Content and Behavior

You are responsible for all content you post or submit on or through the Sites or Services (including comments, posts, messages, reviews, questions, and suggestions).

You agree that you will:

Only use the Sites and Services for lawful purposes

Not violate the rights (including intellectual property, privacy, and publicity rights) of others

Not upload or share any content that is illegal, infringing, defamatory, harassing, abusive, hateful, violent, or otherwise objectionable

Not attempt to gain unauthorized access to any part of the Sites or Services

We may, at our sole discretion, remove or restrict access to content and/or terminate or suspend accounts for repeated or serious violations of these rules.


11. Rights to Content You Post

You retain ownership of any content you post to the Sites or Services.

However, by posting or submitting content (including ideas, suggestions, comments, questions, reviews, and other materials), you grant Social Jargn a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to:

Use, copy, reproduce, process, adapt, modify, publish, transmit, display, distribute, and create derivative works from your content in any and all media or distribution methods (now known or later developed)

Use your name, image, and likeness in connection with the content, where provided

To the extent permissible under law, you waive any moral rights or similar rights in your content. You agree that you are not entitled to any compensation for any use of your content by Social Jargn in accordance with this license.

We do not control and are not responsible for the content, policies, or practices of any third-party website or service.

The inclusion of a link or integration does not imply our endorsement of the third party or its offerings.

13. Member Interactions and “Use at Your Own Risk”

Digital DIYers by Social Jargn and other Services may include interactive features, such as communities, group calls, messaging, or other ways to interact with members.

When you interact directly with other members:

You are solely responsible for what you choose to share and how you use information provided by others.

We do not control users’ actions and are not responsible for what other members do with any information you choose to share.

You should use caution and good judgment when deciding what personal or business information to disclose.

We are not liable for disputes, claims, losses, injuries, or damages of any kind that may arise out of or relate to interactions between members.

Content provided through the Sites and Services may include business, marketing, financial, health, or other topics. While we strive for accuracy and usefulness, we do not guarantee that any content is complete, reliable, current, or error-free.

Loss of business opportunities

Our total liability to you for any claim arising out of or relating to these Terms or the Sites or Services shall not exceed the greater of:

One hundred dollars (USD $100), or

The amount you have paid to us in the twelve (12) months prior to the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.


16. Indemnification

You agree to indemnify, defend, and hold harmless Social Jargn, LLC, its affiliates, and their respective officers, directors, employees, agents, suppliers, and partners from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

b) Your use of the Sites or Services

Your indemnification obligations will survive the termination of your account and your use of the Sites and Services.


17. Sanctions and Export Laws

You represent and warrant that you:

Are not located in, and are not a resident of, any country subject to U.S. trade sanctions or embargoes; and

Are not listed on any U.S. government list of prohibited or restricted parties.

You agree not to use, export, re-export, divert, transfer, or disclose any portion of the Sites, Services, or related technical information in violation of applicable export control and trade sanctions laws.

If you become subject to any such restriction, you agree to notify us within 24 hours, and we may terminate your access to the Sites and Services immediately, without further liability to you.


18. Dispute Resolution and No Class Actions

Before bringing any formal legal action, you agree to first contact us so we can attempt to resolve the dispute informally.

You and Social Jargn agree that any claims or disputes between us will be brought only in our individual capacities and not as a plaintiff or class member in any purported class, consolidated, or representative action.

If a court determines that the class action waiver in this section is unenforceable, then this section will be severed, and the remainder of these Terms will continue in full force and effect.

These Terms and any dispute arising out of or relating to them, the Sites, or the Services are governed by the laws of the State of Minnesota, without regard to its conflict of law provisions.
